Caerus Oil and Gas is managed by a highly experienced Executive Leadership Team with governance provided by its Board of Managers.

David H. Keyte has over 40 years’ experience in the financial and energy industries. He is the Co-founder, Chairman and Chief Executive Officer of Caerus Oil and Gas LLC, a privately held natural gas producer operating in Western Colorado since 2009 and in Eastern Utah since mid-2020. He has been principal in acquisitions in excess of $1.3 billion with Caerus. Caerus is presently focused on the Piceance and Uinta Basins, has approximately 275 employees, proved reserves of approximately 3.5 TCFE of natural gas and daily production of over 600 million cubic feet. Prior to that, Mr. Keyte spent 22 years with Forest Oil Corporation, the last 14 serving as Chief Financial Officer. During his tenure, Mr. Keyte was principal in 25 significant merger and acquisition transactions totaling $7.7 billion, two of which were awarded Oil and Gas Investor’s Financial Deal of the Year for their creative structure and value creation. Additionally, Mr. Keyte was principal in 47 capital market transactions totaling $8.5 billion.

Mr. Keyte served as director of Regal Entertainment Group (RGC) from 2006 to 2018. From 2011 to 2018, when the company was sold, he served on RGC’s compensation committee. In April 2019, Mr. Keyte was appointed director for Antero Midstream Corporation (AM), is currently AM’s Lead Director, Chairman of the Compensation Committee, and a member of AM’s Governance Committee.

Mr. Keyte holds a B.S. degree in Economics from the Wharton School of Finance, University of Pennsylvania.

Mr. Thomas has been the CFO at Caerus Oil and Gas since 2011. He joined Caerus as the Company’s first hired employee in charge of business development in January, 2010.  Prior to that, Mr. Thomas served as Senior Business Development Engineer for Puckett Land Company, a private company engaged in the acquisition, development and production of natural gas in the Piceance Basin of Western Colorado.

Prior to that, Mr. Thomas was a member of Chevron’s MBA Finance Development Program; he also spent four years with Forest Oil Corporation in various engineering capacities. Mr. Thomas holds a Bachelor of Science in Engineering degree in Systems Sciences from the University of Pennsylvania and earned honors of High Distinction from the Stephen M. Ross School of Business at the University of Michigan, where obtained his Master of Business Administration degree.

Andrea Wescott Passman joined Caerus Oil & Gas in 2019 as Chief Operating Officer. Prior to joining Caerus, Ms. Passman was the Senior Vice President of Engineering and Operations for CNX Resources where she led operations and engineering for their Marcellus and Utica assets. She also led exploration and evaluation of shale plays for CNX’s international subsidiary. Ms. Passman has concentrated her career in optimization and digitization of unconventional resource plays for the last decade as she has held several management and engineering roles with Halliburton, Schlumberger, and U.S. independents.

Ms. Passman was raised in a gold mine in Alaska and still holds that new frontier attitude. She was recruited away from Alaska by the Colorado School of Mines where she received her Bachelor of Science degree in Petroleum Engineering.  In addition, she holds a Master of Business Administration degree from the University of Denver.

Ms. Woolston has been General Counsel of Caerus Oil and Gas since October 2017. At Caerus, in addition to her legal responsibilities, Ms. Woolston heads up Government Relations, Communications, Regulatory, Land, and Human Resources. Prior to joining Caerus, Ms. Woolston served as a Senior Attorney with Encana Oil & Gas (USA) Inc. where she provided legal services to Encana’s assets in Colorado, New Mexico, Wyoming, and Texas, and was lead attorney on the divestitures of Encana’s assets in Colorado. Before joining Encana, Ms. Woolston clerked at the Colorado Court of Appeals and then served as an Associate with the Energy Team in Norton Rose Fulbright’s Denver office.

Prior to her legal career, Ms. Woolston was a veterinarian in Sheridan, Wyoming. Ms. Woolston is an honors graduate of Dartmouth College, the University of Florida College of Veterinary Medicine, and the University of Arizona Rogers College of Law.

In addition to her responsibilities at Caerus, Ms. Woolston is the Chairwoman of the Colorado Oil and Gas Association and serves on the Board of Heart & Hand.
